Subscription Terms & Billing Policy

1. Introduction

These Subscription Terms & Billing Policy (“Subscription Terms”) govern all paid subscriptions, membership plans and related services offered through the VentraBlock platform.

These Subscription Terms should be read alongside our Website Terms and Conditions and Privacy Policy.

By purchasing or maintaining a subscription, you agree to these Subscription Terms.

2. Subscription Plans

VentraBlock may offer subscription plans for:

• Block Owners
• Resident Management Companies (RMCs)
• Right to Manage Companies (RTMs)
• Freeholders
• Managing Agents
• Property Developers
• Premium Listings
• Featured Listings
• Additional Marketplace Services

Subscription plans and pricing may change from time to time.

Current pricing is displayed on the Pricing page of the Platform.

3. Subscription Periods

Subscriptions may be offered on:

• Monthly plans
• Annual plans
• Promotional plans
• Trial plans

The subscription period selected at checkout will apply unless otherwise stated.

4. Automatic Renewal

Unless cancelled before the renewal date, subscriptions will automatically renew for the same subscription period.

By subscribing, you authorise VentraBlock to automatically charge the payment method on file for future renewal periods.

Renewal charges will be processed using the payment details provided during registration or subsequently updated by the user.

5. Subscription Fees

All subscription fees are payable in advance.

Fees displayed on the Platform:

• May be subject to VAT where applicable
• Are charged in Pounds Sterling (£) unless otherwise stated
• Are exclusive of bank charges and payment processing fees imposed by third parties

Users are responsible for ensuring payment details remain accurate and valid.

6. Payment Processing

Payments are processed through authorised third-party payment providers.

VentraBlock does not store full payment card details.

Payment providers are responsible for securely processing payment information.

7. Failed Payments

If payment cannot be collected:

• Access to certain features may be restricted
• Subscription benefits may be suspended
• Account access may be limited
• Additional payment attempts may be made

VentraBlock reserves the right to suspend or terminate accounts with outstanding balances.

8. Cancellations

Users may cancel their subscriptions at any time through their account settings.

Cancellation will prevent future renewals but will not normally result in a refund for the current subscription period.

Access will remain available until the end of the paid subscription term unless otherwise stated.

9. Refund Policy

Unless required by law, subscription fees are non-refundable.

VentraBlock may, at its sole discretion, consider refund requests in exceptional circumstances.

Examples may include:

• Duplicate payments
• Billing errors
• Technical faults preventing access to purchased services

Refund decisions remain at VentraBlock’s discretion.

10. Free Trials and Promotions

VentraBlock may offer:

Unless otherwise stated:

• Promotions cannot be combined
• Promotional pricing applies only to the specified period
• Standard pricing will apply after promotional periods end

VentraBlock reserves the right to withdraw promotions at any time.

VentraBlock reserves the right to change subscription pricing.

Where possible, users will be provided with reasonable notice before price changes take effect.

Continued use of the Platform after a price change takes effect constitutes acceptance of the revised pricing.

• Tender management tools
• Messaging functionality

• Profile visibility
• Featured placement opportunities

Specific benefits vary by subscription plan.

VentraBlock may modify features and benefits from time to time.

13. Marketplace Opportunities

VentraBlock does not guarantee:

• Tender invitations
• Leads
• Proposal requests
• Contracts
• Appointments
• Revenue generation
• Business growth

Marketplace outcomes depend on multiple factors beyond VentraBlock’s control.

14. Featured Listings and Premium Visibility

Where featured placements or premium visibility products are offered:

• Placement positions may vary
• Visibility cannot be guaranteed
• Traffic and enquiry levels cannot be guaranteed
• Results may differ between users

VentraBlock reserves the right to adjust ranking and display algorithms.

15. Suspension of Services

VentraBlock may suspend subscriptions where:

• Payments fail
• These Subscription Terms are breached
• Website Terms and Conditions are breached
• Fraudulent activity is suspected
• Regulatory or legal requirements require suspension

Suspension does not remove outstanding payment obligations.

16. Termination by VentraBlock

VentraBlock may terminate subscriptions where:

• False information is provided
• Platform misuse occurs
• Fraudulent activity is identified
• Payment obligations remain unpaid

Termination does not automatically entitle the user to a refund.

17. Business Customers

VentraBlock primarily provides services to businesses, organisations and professional users.

Where subscriptions are purchased for business purposes, consumer cancellation rights may not apply.

18. Limitation of Liability

VentraBlock shall not be liable for:

• Loss of profits
• Loss of business opportunities
• Loss of contracts
• Loss of anticipated savings
• Loss of goodwill
• Indirect or consequential losses

Any liability arising from subscription services shall be limited to the amount paid by the user during the twelve months preceding the claim.

Nothing in these Subscription Terms excludes liability that cannot legally be excluded.

19. Changes to These Subscription Terms

VentraBlock may amend these Subscription Terms from time to time.

Updated versions will be published on the Platform.

Continued use of the Platform following publication constitutes acceptance of the revised Subscription Terms.

20. Governing Law

These Subscription Terms are governed by the laws of England and Wales.

21. Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction over disputes arising from these Subscription Terms.
